Welcome to Equity Squared. This product is offered to licensed attorneys and legal professionals by Equity Squared, LLC, a Nebraska Limited Liability Company (hereinafter "Equity Squared," "We," or "Us").

By using the Equity Squared website (hereinafter the "Website"), you agree to be bound by the terms contained within this document. Equity Squared will not accept any changes, additions, or deletions to this agreement.

The Website is offered exclusively to attorneys, law firms, and legal professionals. By creating an account, you represent to us that you are either a licensed attorney, or that you are a legal professional working under the supervision of a licensed attorney or law firm, and that you have the authority to create an account on the Website on the attorney's or law firm's behalf, and to use the website to store your law firm's client's confidential documents and information.

The Website is intended to assist you in organizing documents and information to prepare a proposed distribution of marital and other property. We hope you will find this product useful and effective in your practice, however, this product is offered "AS IS" AND WITHOUT ANY WARRANTIES OF ANY TYPE, WHETHER EXPRESS OR IMPLIED. In no event shall Equity Squared or any author be liable for any special, incidental, or consequential damages arising out of or in connection with the Website, however arising, including negligence. In any event, Equity Squared's liability to you shall be limited to the proportion of any fee paid by you for the Matter Credit used to create the Matter which gave rise to any claim you may make against Equity Squared.

We license this Website on a "Per Matter" basis. A "Matter" is a single dispute or issue between two unique parties, regardless of whether litigation has been initiated. We sell "Matter Credits" in various packages at prices we deterine. A "Matter Credit" entitles you to use the Website to create a unique Matter. When you create a unique Matter on the Website using a properly purchased or compliamentary Matter Credit, we grant you a limited, non-exclusive license to use the Website for the sole purpose of loading documents and data which are reasonably necessary for you to resolve that Matter. This license is subject to the restriction that, except where expressly permitted by law, you may not translate, reverse-engineer or reverse-compile or decompile, disassemble or make derivative works from the Website. You may not modify the Website or any of its code or components or use them in any way not expressly authorized by this agreement.

You cannot rename a Matter after it is created, and your license is limited to using the Website for the dispute which gave rise to the Matter only. Each Matter requires a separate Matter Credit, and Matters cannot be reused. You agree that you will not use a Matter for more than one dispute, nor will you attempt to circumvent our "Per Matter" pricing structure.

We sell Matter Credits in packages of varying sizes, and at prices we determine. We reserve the right to establish, change, or discontinue packages and prices in our sole discretion, and without providing advance notice to you. We also reserve the right to provide compliamentary matters to selected users, and to offer special pricing, packages, or discounts to selected users without obligating ourselves to provide similar pricing or packages to you. We also reserve the right to limit quantities. Most purchased matter credits do not expire, however, we reserve the right to apply expiration dates to compliamentary credits, or credits which we sell as part of a specific package to specific users. We will not refund, in whole or in part, the price of any unused or expired matter credits.

Each Matter that you create will be associated with one Team. You may create more than one Team, and you may invite a reasonable number of users to join each Team that you create. If you are creating a Team for an organization (such as a law firm), you represent to us that you have authority to act on behalf of the organization. You are responsible for verifying the identity of each user that you invite to join your Team(s), for vetting invitees, and for the actions that they take with the privileges that you grant to them. Equity Squared will not mediate or resolve disputes between members of a Team.

You can transfer Matter Credits that you purchase between Teams. Once you use a Matter Credit to create a Matter, the Matter will be associated with the Team that owned the Credit, and Matters cannot be transferred between Teams.

You agree to take reasonable steps to secure your account, including using a reasonably strong password, storing that password securely, and not sharing that password with anyone. While we will take reasonable steps to keep the site, your documents, and your data secure, you further agree that you will take reasonable steps to limit the damage that might be caused by a data breach by redacting sensitive information (such as whole account numbers, social security numbers, dates of birth, or other personally identifying information) from documents before you upload them to the Website or by taking other similar actions that will minimize the impact of a data breach, should one occur. You also agree to keep your contact information up to date with us.

You are responsible for maintaining backup copies of your own documents and data, and you should not rely on Equity Squared as the only method to store important or sensitive information about your Matter.

Our introduction of various technologies may not be consistent across all platforms or browsers and the performance of some features may vary depending on your computer software, internet connection, and other equipment.

The Website is "Internet Based." It requires your internet connection and our internet connection to be working properly. We will take reasonable steps to ensure our system is available, and to attempt to avoid outages and downtime during normal business hours. However, we do not guarantee a particular level of service, speed, or amount of uptime, and we will not be responsible for interruptions in service, slow service, or for any incidental or consequential damages that arise from interruptions in service or reductions of speed.

This agreement, and any licenses granted hereunder shall be governed by the laws of the State of Nebraska. You expressly agree that exclusive jurisdiction for any claim or dispute with Equity Squared regarding or in any way relating to your use of the Website shall reside in the Courts of the State of Nebraska. You further consent to the exercise of Personal Jurisdiction over yourself by the Nebraska courts in connection with any such dipsute.
